This Acceptable Use Policy (“AUP”) governs access to and use of the identity and access management software-as-a-service platform and related services (the “Services”) provided by Owlie, LLC (“Owlie,” “Company,” “we,” “us,” or “our”). This AUP is incorporated by reference into the Master Subscription (Terms of Service) or other applicable agreement governing use of the Services (the “Agreement”).
Capitalized terms not defined in this AUP have the meanings set forth in the Agreement.
1. Purpose
This AUP is intended to ensure that the Services are used in a lawful, secure, and responsible manner that protects Owlie, its customers, end users, and the integrity, availability, and confidentiality of the Services.
2. Permitted Use
Customer and its authorized users (“Users”) may access and use the Services solely:
- In accordance with the Agreement, applicable Documentation, and this AUP;
- For lawful business purposes; and
- To manage identity, authentication, authorization, and access controls for applications, systems, and users that Customer is authorized to administer.
3. Prohibited Activities
Customer is responsible for all use of the Services by its Users and must not, and must not permit any User or third party to, engage in any of the following:
3.1 Security and System Abuse
- Attempt to gain unauthorized access to systems, accounts, data, or networks;
- Circumvent, disable, or interfere with security features, access controls, rate limits, or safeguards;
- Probe, scan, or test the vulnerability of the Services except as expressly authorized in writing by Owlie;
- Introduce malware, viruses, worms, Trojan horses, or other malicious code.
3.2 Misuse of Identity and Authentication
- Impersonate any person or entity or misrepresent identity or authority;
- Create, modify, or manage identities without proper authorization;
- Use the Services to facilitate phishing, credential harvesting, social engineering, or account takeover;
- Use compromised credentials, authentication factors, or access tokens.
3.3 Illegal or Harmful Conduct
- Use the Services in violation of any applicable law, regulation, or legal obligation;
- Use the Services to support illegal, fraudulent, or deceptive activities, including sanctions violations;
- Store, transmit, or process content that is unlawful, abusive, defamatory, or infringes the rights of others.
3.4 Service Integrity and Performance
- Interfere with or disrupt the integrity, availability, or performance of the Services or related systems;
- Abuse usage limits, APIs, or service quotas;
- Conduct denial-of-service attacks or other activities that degrade service availability.
3.5 Reverse Engineering and Competitive Use
- Reverse engineer, decompile, or disassemble the Services except to the extent permitted by applicable law;
- Access or use the Services to develop, benchmark, or support a competing product or service;
- Resell, sublicense, lease, or provide the Services on a service bureau or time-sharing basis without Owlie’s prior written consent.
3.6 Automated and AI-Assisted Use
- Use any automation, scripts, or AI-assisted functionality in a manner that violates this AUP, the Agreement, or applicable law;
- Attempt to circumvent safeguards or controls applicable to AI-enabled or automated features;
- Rely on AI-generated outputs without appropriate human review where required by Owlie’s documentation or policies.
4. Data and Privacy Responsibilities
Customer is responsible for:
- Ensuring it has all rights, consents, and legal bases necessary to submit data to the Services;
- Not submitting sensitive or regulated data except as expressly permitted by the Agreement and applicable Documentation;
- Complying with applicable privacy and data protection laws.
Owlie does not monitor, review, or access Customer Data except as reasonably necessary to provide, secure, support, and improve the Services, or to comply with applicable law.
5. Monitoring and Enforcement
Owlie may monitor use of the Services to the extent reasonably necessary to:
- Ensure compliance with this AUP and the Agreement;
- Protect the security and integrity of the Services; and
- Comply with legal or regulatory obligations.
If Owlie reasonably believes a violation of this AUP has occurred, Owlie may, in its discretion and without liability:
- Investigate the suspected violation;
- Suspend or restrict access to the Services;
- Require corrective action; or
- Terminate the applicable Agreement in accordance with its terms.

7. Changes to This AUP
Owlie may update this AUP from time to time. Material changes will be communicated in accordance with the Agreement. Continued use of the Services after the effective date of an updated AUP constitutes acceptance of the revised AUP.
